Welcome to TechRiver. These Terms & Conditions (“Terms”) govern your use of www.techriver.in and the services and products offered by TechRiver, a unit of SHOP AT HOME. By using the Website or engaging us, you agree to these Terms. If you do not agree, please do not use the Website.

1. Our Services and Products

TechRiver provides IT services including web and mobile app development, software development, UI/UX design, digital marketing, cloud and DevOps, cybersecurity, IT support, AI and automation, e-commerce and API integration, along with in-house products such as School/College ERP, CRM and Email & WhatsApp marketing tools. Descriptions on the Website are for general information and are not a binding offer.

2. Quotes, Proposals and Engagement

• A project begins only after a written quote or proposal is accepted (email acceptance is sufficient) and any agreed advance is received.
• Quotes are valid for the period stated in them (or 15 days if none is stated) and may change if the scope changes.
• Work outside the agreed scope is treated as a change request and may be charged separately.

3. Payments

• Fees, milestones and payment schedules are set out in the quote or invoice. All prices are in Indian Rupees (INR) unless stated otherwise and are exclusive of GST and other applicable taxes.
• Invoices are payable within the period stated on the invoice. Delayed payments may pause work and attract reasonable late charges.
• Third-party costs (domains, hosting, licences, SMS/WhatsApp/email credits, advertising spend, app-store fees) are billed separately unless explicitly included.

4. Client Responsibilities

You agree to provide timely content, access, feedback and approvals, to ensure that materials you supply do not infringe any third-party rights, and to use our services only for lawful purposes. Delays caused by missing inputs may extend timelines.

5. Intellectual Property

• On receipt of full payment, ownership of custom deliverables created specifically for you passes to you, excluding our pre-existing tools, frameworks, libraries and third-party or open-source components, which remain subject to their own licences.
• Our in-house products are licensed, not sold. You receive a limited, non-transferable licence to use them as agreed.
• The TechRiver name, logo, website design and content are our property and may not be copied or reused without written permission.
• We may mention that we worked with you and show non-confidential work in our portfolio unless you ask us not to.

6. Confidentiality

Each party will keep the other’s non-public business and technical information confidential and use it only for the engagement. We will sign a separate NDA on request.

7. Support and Warranty

Unless the proposal says otherwise, we fix defects in delivered work that are reported within the post-launch support window stated in the proposal. Support does not cover issues caused by third-party changes, misuse, unauthorised modifications, or hosting not managed by us. Ongoing maintenance is available through an Annual Maintenance Contract (AMC).

8. Acceptable Use of the Website

You agree not to misuse the Website, attempt unauthorised access, introduce malware, scrape it in a way that harms performance, or submit false, abusive or spam enquiries.

9. Third-Party Services

Our work may depend on third-party platforms such as AWS, Microsoft Azure, Google, Meta, WhatsApp and payment gateways. We do not control their policies, pricing, availability or changes and are not liable for their actions.

10. Disclaimer of Warranties

The Website is provided “as is”. While we work to keep information accurate and our services dependable, we do not guarantee uninterrupted or error-free operation, or specific business results such as rankings, traffic, leads or revenue. See also our Disclaimer.

11. Limitation of Liability

To the maximum extent permitted by law, TechRiver is not liable for indirect, incidental, special or consequential losses, including loss of profit, data or goodwill. Our total liability for any claim is limited to the fees you paid us for the specific service giving rise to the claim in the three months before the claim.

12. Indemnity

You agree to indemnify TechRiver against claims arising from content you provide, your misuse of our deliverables, or your breach of these Terms.

13. Termination

Either party may end an engagement by written notice as stated in the proposal. You remain liable for work completed and costs incurred up to the termination date. We may suspend or end access to the Website or products for breach of these Terms.

14. Refunds

Refunds and cancellations are governed by our Refund & Cancellation Policy.

15. Privacy

Your use of the Website is also governed by our Privacy Policy.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of India. The courts at New Delhi have exclusive jurisdiction over any dispute, subject to any arbitration clause in a signed agreement.

17. Changes to These Terms

We may revise these Terms at any time by updating this page. Continued use of the Website after changes means you accept them.
